Planning Earn Outs Beyond Cash
I always tell people to look, if you can take cash off the table as much cash as you can get, my recommendation for amazon sellers is, if you get aggregators or if you get into a position where you can create a bidding war bidding frenzy like happens with a lot of our companies and brands that we sell.
If you can get into that position welcome and earn-out but welcome the earn-out above and beyond the highest offer. So the earn-out just becomes icing on the cake and so if you do get into this earn-out you may be able to ask for some percentage of the earnings of the company should the company go public, should the company merge with another public company, should the company be acquired and those are ways where you could practice upside.
